IVCA Toolkit Series: What Private Equity and Venture Capital Firms Need to Know About Dodd-Frank and New Investment Adviser Regulations sponsored by Winston & Strawn

11:30am-1:30pm

September 14, 2010
11:30 - 1:30
Lunch Included!
Downtown Chicago

Whether you are new to investment adviser registration or have registered in the past, this event will provide your firm with useful tools to comply with current registration and regulatory requirements. Venture Capital and Private Equity firms were largely exempt from IA registration requirements thanks to the "Private Adviser" exemption. With the adoption of The Dodd-Frank Wall Street Reform and Consumer Protection Act this is no longer the case for many firms. Newly registered firms - and also firms that currently are registered - will be required to provide information in a new "brochure" form rather than the old Part II Q&A format, as well as comply with other recordkeeping, reporting, disclosure and compliance requirements. Hear from an experienced panel on how these changes and other provisions of Dodd-Frank may apply to your firm.

Panel will include:
  • Wes Nissen, Winston & Strawn - will provide the Investment Advisers' Legal Counsel view
  • Nell Blatherwick, RCP Advisors, will provide experience and perspective of a Registered Investment Adviser
  • Ileana Stone, Bank of America, will provide insight on the impact of The Volcker Rule on PE funds and investment by Banking Entities
Moderated by: Andy McDonough, Winston & Strawn
  • SEC Registration Requirements including:
    • Information required
    • Timelines
    • Deadlines
  • Suggestions for how to manage the process with limited disruption
  • Required Investor information (including the new "brochure" format)
  • Summaries of registration requirements and new Form ADVPart2 Format
This event is free for IVCA members who can register for the event HERE.
Panel also will review the prospective impact of the Volcker Rules on banking entities' investment in VC/PE firms.

Program Description:
Following our January seminar on the state of asset allocation theories in the traditional corners of the market, we’re now turning the spotlight on the alternatives universe. Alternative investment strategies, such as hedge funds, private equity, and real estate, suffered from poor investment returns and weak fundraising prospects coming out of the market dislocation in 2008. Many participants predicted this trend to continue for some time, driven by a preference for liquidity and the desire to find truly uncorrelated exposure - an element missing in many portfolios during the dislocation.

Have poor returns and weak fundraising prospects continued in 2009 and 2010? Do investors increasingly prefer more liquid strategies today than pre-crisis? The panelists will discuss relative required returns versus more liquid asset classes, investor appetite for alternatives, current trends in the various alternative subclasses, and answer Q&A from the audience.
