Venture Capital and Private Equity firms were largely exempt from IA registration requirements thanks to the "Private Adviser" exemption. With the adoption of The Dodd-Frank Wall Street Reform and Consumer Protection Act this is no longer the case for many firms. Newly registered firms - and also firms that currently are registered - will be required to provide information in a new "brochure" form rather than the old Part II Q&A format, as well as comply with other recordkeeping, reporting, disclosure and compliance requirements.
